Representative Office Indonesia vs PT PMA: The Short Answer

Choose a representative office only when the Indonesian presence will remain genuinely non-commercial. A general foreign company representative office (KPPA) may supervise, coordinate, liaise and prepare a future foreign-investment business, but it may not earn income from Indonesian sources or enter commercial sales and purchase transactions. Choose a PT PMA when the Indonesian operation must sign customer contracts, issue local invoices, receive revenue, deliver paid services, trade, hold operating licences or build an ongoing local business.
The decisive question is not which structure is cheaper or faster to register. It is what the Indonesian team will do on the first day after registration. If that team will negotiate and perform a paid local contract, collect customer money or carry operating risk, the representative-office model is usually the wrong legal tool even if the parent company remains the named counterparty overseas.
This guide reflects the rules available on 14 October 2026, especially Minister of Investment/BKPM Regulation No. 5 of 2025, which took effect on 2 October 2025 and replaced the earlier BKPM licensing regulations. It distinguishes the general KPPA from trading, construction, electricity and other sector-specific representative arrangements. The correct category must be selected before filing through OSS.

Representative Office and PT PMA Are Not Smaller and Larger Versions of the Same Entity

A PT PMA is an Indonesian limited liability company with foreign investment. It becomes a separate legal entity after incorporation and government approval, has shareholders, directors and commissioners, and operates through the business fields stated in its deed, KBLI selections and licences. Its rights and liabilities are not merely a registration of the foreign parent.
A KPPA, by contrast, is the registered Indonesian representative of a foreign company or group of foreign companies. It has no Indonesian shareholding structure and no PT share capital because it is not an Indonesian limited liability company. The foreign principal appoints one or more persons to lead the office, and the office remains tied to that principal’s legal identity and permitted representative purpose.
That distinction affects contracts, liability, tax analysis, governance, banking, licences, immigration and exit. A representative office can be useful for a carefully controlled market-development phase. It becomes dangerous when the business treats the office as a low-cost sales subsidiary while its registration still says “non-commercial.”

Side-by-Side Comparison

Decision area
Representative office (general KPPA)
PT PMA
Legal form
Representative of the foreign principal; not an Indonesian PT with shares.
Separate Indonesian limited liability company with foreign investment.
Best use
Liaison, coordination, supervision, market study and preparation for a future PMA business.
Commercial operations, revenue, local customers, assets, licences and scalable employment.
Local income
Must not earn income from Indonesian sources.
May earn revenue within its approved KBLI and licensing scope.
Commercial contracts
No sales or purchase transactions for commercial goods or services with Indonesian parties.
May enter contracts and invoice in its own name when properly licensed.
Capital
No PT share-capital threshold; operating funds still need a lawful, documented source and budget.
Generally IDR 2.5 billion minimum issued/paid-up capital per PT, plus a planned investment value above IDR 10 billion under the applicable calculation rules.
Governance
Head of representative office appointed by the foreign principal.
Shareholders, directors, commissioners and corporate approvals under the company’s deed and Indonesian company law.
Office
General KPPA must be in an office building in a provincial capital.
Address and premises must fit zoning, KBLI, risk level and sector requirements; not every activity can use a virtual office.
Core licence
NIB through OSS; sector-specific office types may need additional licences.
Deed/AHU status, NIB and risk- or sector-based licences, certificates and supporting approvals.
Reporting
Representative-office LKPM every six months, plus tax, employment and sector obligations as applicable.
PMA is a large business and generally files LKPM quarterly, plus corporate, tax, employment and licence compliance.
Investor KITAS
No shares exist in the KPPA, so E28A shareholder eligibility does not arise from the office itself.
May support E28A when the foreign shareholder, ownership amount, corporate role and immigration conditions qualify.

What a General KPPA May and May Not Do

Article 270 of BKPM Regulation 5/2025 is the practical boundary. A KPPA may act as supervisor, liaison and coordinator, handle the interests of its foreign principal or affiliates, and prepare the establishment and development of a future PMA business in Indonesia. These functions can support market intelligence, relationship management and investment preparation when the scope is documented and controlled.

Activities that can fit

  • Researching market size, regulation, suppliers, locations and potential partners.
  • Coordinating communication between the foreign principal and Indonesian stakeholders.
  • Promoting the parent company without accepting orders or providing paid local delivery.
  • Monitoring quality or project information for the principal without managing an Indonesian operating company.
  • Preparing the legal, licensing and commercial plan for a future PT PMA.

Activities that cross the line

  • Signing or performing commercial sales and purchase contracts with Indonesian customers or suppliers.
  • Issuing local invoices, collecting Indonesian revenue or receiving customer funds.
  • Delivering paid consulting, software implementation, management, trading or other services from the office.
  • Running or participating in the management of an Indonesian subsidiary, branch or other company.
  • Using the parent company’s offshore invoice as a formality while the Indonesia office performs the commercial substance.
The last point is frequently overlooked. Regulators and tax authorities can examine substance, not only invoice letterhead. If Indonesia-based personnel negotiate scope, commit the business, deliver the paid work and support the customer, an offshore contract does not automatically preserve a non-commercial representative model. Tax permanent-establishment questions may also arise separately from licensing compliance.

KPPA, KP3A and Sector-Specific Offices: Choose the Right Category

“Representative office” is an umbrella phrase, not one universal licence. The 2025 regulation separately recognises a general KPPA, a foreign trading company representative office (KP3A), KP3A for electronic commerce, a foreign construction-service representative office (BUJKA), and representative offices for foreign electricity-support services. Sector rules can change what is allowed, which ministry verifies the filing, the duration and which additional licence is required.
Office type
Typical purpose
Planning caution
KPPA
General liaison, coordination, supervision and investment preparation.
No Indonesian-source income or commercial sales/purchase transactions.
KP3A
Representative activity for a foreign trading company.
NIB plus SIUP3A; trading-sector rules still restrict local sales transactions.
KP3A PMSE
Foreign electronic-commerce representative presence.
Check the digital-commerce trigger, duties and Ministry of Trade requirements.
BUJKA representative office
Foreign construction-service activities under the construction framework.
Project, qualification, joint-operation and licence rules differ materially from general KPPA.
Other sector office
Electricity-support or another specifically regulated field.
Use the sector’s standards, not a generic KPPA checklist.
This article focuses on the general KPPA-versus-PT-PMA decision. A company planning trade, construction, electricity services, oil and gas or regulated digital activity should run a separate sector analysis before relying on the general comparison.

Capital and Investment: What Changed in 2025

A general KPPA does not issue shares, so the PT PMA capital rules do not apply to it. That does not mean the office can operate without funding: the foreign principal still needs a credible budget for premises, staff, tax, immigration, professional support and reporting, with a documented funding flow.
For a PT PMA, BKPM Regulation 5/2025 separates paid-up capital from planned investment. Article 26 sets a general minimum issued/paid-up capital of IDR 2.5 billion per limited liability company, unless another rule requires more. The general planned investment value is above IDR 10 billion outside land and buildings per five-digit KBLI per project location, subject to aggregation rules and sector exceptions.
These figures are not government or adviser fees. Capital belongs to the company, and the investment value is the regulated project plan. Article 27 generally restricts moving the paid-up capital from the company account for at least 12 months but expressly permits its use for asset purchases, building development and company operations. A ranking page that says the capital can never be used operationally is therefore incomplete.

Registration Readiness and Documents

General KPPA

Under Article 270, a KPPA obtains its NIB through OSS. The filing requires, at minimum, the foreign principal’s incorporation and constitutional documents, a letter of appointment, a valid office lease, a statement from the relevant Indonesian representative office abroad, business-activity data and a self-declaration covering safety, health and environmental-function matters. The appointment letter must be apostilled or otherwise legalised under the applicable treaty and consular route.
The general KPPA must be located in an office building in a provincial capital. Its head must reside in Indonesia, take responsibility for the office, stay within the KPPA’s activities and may not simultaneously serve as a company director or head another KPPA. If the head is foreign or the KPPA employs foreign nationals, Indonesian employment requirements also apply.

PT PMA

A PT PMA requires a company name and deed, shareholder and governance structure, AHU approval, tax registration, NIB, KBLI selections and the licences dictated by risk level and sector. Foreign-ownership limits, investment value, paid-up capital, beneficial-owner information, office suitability and immigration plans should be settled together. A company can exist legally before it is operationally ready; the NIB is not always the final licence.
For an integrated review, see MLS’s PT PMA and Investor KITAS service. The useful output is not just a certificate: it is an entity, licence and immigration structure that matches the intended contracts, activities and people.

Reporting and Ongoing Compliance

A representative office is not “maintenance-free.” Article 295 of BKPM Regulation 5/2025 requires the relevant representative-office categories, including KPPA and KP3A, to submit LKPM every six months through OSS. The office may also have tax registration and withholding obligations, payroll and social-security duties for Indonesian staff, foreign-worker and immigration obligations, bookkeeping and sector reporting. The absence of local sales does not remove every compliance duty.
A PT PMA is categorised as a large business and generally reports investment activity quarterly. It also has annual corporate approvals, financial statements, tax filings, beneficial-owner maintenance, licence commitments, employment compliance and—when sponsoring foreigners—manpower and immigration duties. The compliance burden is greater, but it is the structure built for commercial operations.

Representative Office, Work Visa and Investor KITAS

A KPPA has no shareholders, so the E28A investor route cannot be based on ownership in the representative office. A foreign head or employee needs an immigration and manpower route matched to the actual position, sponsor and office category. Do not treat appointment as head of office as an automatic right to work or stay.
Immigration has also introduced and renamed classifications, including E28G for a foreign investor placed as a parent-company representative at an Indonesian branch. That announcement should not be read as a universal KPPA shortcut: eligibility, sponsor documents and the difference between a branch, a representative office and a PT PMA must be verified against the live filing system and the person’s actual role.
A PT PMA may support an Investor KITAS and PT PMA pathway when the foreign applicant genuinely holds the required shares, occupies the appropriate corporate position and meets current immigration conditions. If the person is an employee or specialist rather than a qualifying investor, the employer-sponsored work route may be the correct analysis.

The First-Transaction Test

Before choosing an entity, map the first six months of real activity. The answers below are more reliable than a generic “test the market” label.
  • Who will sign the first Indonesian customer or supplier contract?
  • Who will issue the invoice, receive money and bear refund or warranty obligations?
  • Will Indonesia-based staff negotiate prices, commit scope or deliver paid work?
  • Will the operation import, hold inventory, lease operational assets or obtain sector licences?
  • Will employees report to a local operating management team?
  • Will the office need an Investor KITAS, Work KITAS or other sponsor-dependent immigration route?
  • Is the parent company prepared to fund a non-revenue office and carry its liability directly?
If the answers point to local contracting, revenue, regulated delivery or operating management, a PT PMA is usually the safer design. If the answers remain limited to liaison, research and preparation, a KPPA may fit—provided the written policies, employment duties, budgets and external communications reinforce that limit.

How to Move from a Representative Office to a PT PMA

A representative office is not literally converted into a PT PMA by changing one registration field. In practice, the foreign investor establishes a new Indonesian company, transfers permitted operations through documented contracts and asset or employment arrangements, obtains the required licences, changes customer and supplier documentation, and then closes or retains the representative office only if a lawful separate purpose remains.
  1. Confirm foreign ownership, KBLI, sector restrictions, project locations and licence requirements.
  2. Design shareholders, directors, commissioners, capital and beneficial-owner reporting.
  3. Incorporate the PT PMA, obtain AHU status, tax registration, NIB and operational licences.
  4. Open the company bank account and document capital funding and permitted use.
  5. Novate or replace contracts, employment, leases, intellectual-property licences and data-processing arrangements where needed.
  6. Align tax, accounting, payroll, LKPM and immigration records before commercial launch.
  7. Revoke the representative-office registration if it no longer has a valid purpose; retain records and complete final filings.
The sequence should be planned around contracts and regulatory readiness, not an arbitrary registration date. A company that starts billing before licences are ready can create a new problem while trying to solve the old one.

Common Mistakes

  • Choosing KPPA only because it has no PT PMA capital threshold, without testing planned commercial activity.
  • Calling every foreign representative structure “KPPA” and missing KP3A, BUJKA or another sector regime.
  • Using an offshore invoice while Indonesia personnel perform the commercial substance.
  • Assuming NIB alone authorises every activity or that a virtual office works for every address requirement.
  • Repeating the old claim that a PT PMA must always place IDR 10 billion as paid-up capital.
  • Assuming a representative office has no tax, LKPM, payroll or immigration obligations.
  • Treating an expatriate office head as automatically eligible for Investor KITAS.
  • Waiting until the first contract is signed before planning the PT PMA transition.

Frequently Asked Questions

Can a representative office earn revenue in Indonesia?
A general KPPA may not earn income from Indonesian sources and may not enter commercial sales or purchase transactions with Indonesian companies or individuals. If local revenue is part of the model, assess a PT PMA or the relevant sector-specific structure.
Can a representative office sign contracts?
It can sign documents needed for its own permitted presence—such as a lawful office lease or employment documents—but should not sign commercial customer or supplier transactions that fall outside its representative scope. Analyse the substance and authority of each contract, not only its title.
Does a representative office need capital?
It has no PT share-capital requirement because it has no shares. The foreign principal must nevertheless fund the office’s lawful costs and maintain supporting records. A PT PMA generally has a minimum issued/paid-up capital threshold of IDR 2.5 billion per company under the 2025 regulation, subject to higher sector rules.
Is a representative office tax-free?
Do not assume so. Even without permitted local revenue, tax registration, payroll withholding, imported-service, permanent-establishment and transfer-pricing questions may arise from the facts. Obtain tax advice for the actual funding, people, contracts and activities.
Can a KPPA hire employees?
A KPPA can employ staff for its permitted functions, subject to employment, payroll, social-security and immigration rules. Its staff duties must not turn the office into an unlicensed commercial operation.
Can the head of a representative office obtain Investor KITAS?
Not merely because of that appointment. E28A is tied to qualifying investment and shareholding in an Indonesian company; a KPPA has no shares. A different current immigration category may fit the head’s role, but sponsor and eligibility must be checked case by case.
When should a company move from KPPA to PT PMA?
Before the Indonesian operation starts local selling, invoicing, revenue collection, commercial delivery, regulated operations or other activities outside the representative scope. Plan early enough to incorporate, license, bank, contract and sponsor personnel before that point.

Choose the Structure Around the Real Business

A representative office is a disciplined non-commercial bridge into Indonesia. A PT PMA is the platform for commercial operations. The cheapest filing can become the most expensive structure if it does not match the first transaction, people or regulatory obligations.
Master Legal Solution can review the activity map, foreign-ownership position, KBLI, capital, licences and immigration objectives before the structure is filed. Request a market-entry assessment through the PT PMA and Investor KITAS service page so the chosen vehicle supports the business the company actually intends to operate.
